Terms of Service

Overview

These Terms of Service apply to the managed Bitcoin payment processing and BTCPay hosting business operated under the Bitcoin-TX name.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Contracting Party

Bitcoin-TX provides the Services. References to "Bitcoin-TX", "we", "us", and "our" mean Bitcoin-TX. References to "you" and "your" mean the person or legal entity using the Services.

If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

Eligibility and Business Use

The Services are intended for business and professional use by persons who understand Bitcoin, payment infrastructure, self-custody concepts, and the operational risks of digital asset systems.

You represent that you are at least 18 years old, have legal capacity to enter into these Terms, and are not prohibited from using the Services under applicable law.

Scope of Services

The Services may include managed BTCPay hosting, payment infrastructure configuration, store and invoice tools, optional Lightning integrations, API access, technical support, and related features that we choose to make available from time to time.

We may add, remove, limit, or modify features, plans, integrations, product names, and technical requirements at any time.

Non-Custodial Nature of the Services

Unless we expressly agree otherwise in writing, we do not take custody of customer funds and do not act as a bank, exchange, broker, money transmitter, or fiduciary.

We do not guarantee the functionality, settlement finality, or value of any digital asset, blockchain network, or external provider connected to the Services.

Accounts, Credentials, and Security

You are solely responsible for maintaining the confidentiality and security of your credentials, API keys, webhook secrets, wallets, seed phrases, mnemonics, recovery files, devices, and internal access controls.

You must promptly notify us of any suspected unauthorized access, compromise, wallet issue, or misuse of the Services.

Customer Responsibilities

You are responsible for your store configuration, wallet choices, invoice settings, supported asset selection, tax handling, customer communications, website content, backups, and the legality of all transactions processed through your use of the Services.

You are solely responsible for confirming addresses, settlement settings, pricing accuracy, exchange rate assumptions, accounting treatment, and any disclosures required for your own customers.

Acceptable Use

You may not use the Services for unlawful activity, sanctions evasion, fraud, phishing, malware, unauthorized access, money laundering, abusive traffic, intellectual property infringement, or any use that could expose us or our providers to legal, technical, reputational, or security risk.

We may investigate suspected misuse and may suspend, restrict, terminate, preserve evidence, or cooperate with regulators, law enforcement, or affected third parties where reasonably necessary.

Subscriptions, Billing, Taxes, and Refunds

Paid plans are billed in advance on a recurring basis unless otherwise stated. Trials, discounts, promotional pricing, and free features may be changed or discontinued at any time.

You authorize us and our payment processors to charge applicable fees, renewals, taxes, and related charges using your selected payment method. Unless required by law or expressly stated otherwise, fees are non-refundable and partially used billing periods are not prorated or refunded.

Availability and Support

Unless we expressly agree in writing to a separate service level agreement, the Services are provided on a commercially reasonable, best-efforts basis only. We do not guarantee uninterrupted availability, uptime, latency, response times, or recovery outcomes.

Maintenance, security actions, provider outages, force majeure events, software bugs, blockchain congestion, and third-party failures may affect performance or availability without liability to us.

Suspension and Termination

We may suspend or terminate any account, store, integration, API access, or Service at any time, with or without notice, if we believe it is necessary for security, legal compliance, risk management, fraud prevention, abuse mitigation, provider requirements, non-payment, or violation of these Terms.

You may stop using the Services at any time. Termination does not relieve you of payment obligations accrued before termination and does not require us to preserve or host data for any minimum period unless we expressly agree otherwise in writing.

Third-Party Services

The Services may interoperate with third-party software, cloud infrastructure, domain services, Lightning implementations, wallet products, plugins, payment processors, and external APIs.

We are not responsible for third-party acts, omissions, downtime, pricing changes, policy changes, security incidents, or service discontinuation. Your use of third-party products may be subject to separate terms and privacy policies.

Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND TO THE MAXIMUM EXTENT PERMITTED BY LAW.

To the maximum extent permitted by law, we will not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages, or for loss of profits, revenue, business, goodwill, data, customers, digital assets, or anticipated savings. Our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of the amounts you paid us during the three months immediately preceding the event giving rise to the claim, or USD 100.

Indemnification

You will defend, indemnify, and hold harmless us, our affiliates, service providers, contractors, and personnel from and against claims, losses, liabilities, damages, judgments, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your customers, your content, your transactions, your breach of these Terms, or your violation of applicable law or third-party rights.

Disputes and Applicable Law

These Terms will be interpreted in accordance with applicable law, and any dispute arising out of or relating to the Services or these Terms must be brought in a court or forum that has lawful jurisdiction over the parties and the dispute, unless applicable law requires otherwise.

To the maximum extent permitted by law, you agree to first contact us at contact@bitcoin-tx.com to attempt to resolve disputes before starting formal proceedings.

Changes and Contact

We may update these Terms from time to time. The updated version becomes effective when posted or on the later date specified in the notice. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
